Terms of service

Olivet Payments Ltd. · Summary of merchant terms · Draft for legal review · October 2026

These terms summarise the basis on which Olivet Payments Ltd. ("Olivet") provides its services to merchants. The full agreement is the Merchant Services Agreement signed at onboarding. If this page and the agreement differ, the agreement prevails.

1. The service

Olivet enables a merchant established outside Brazil to offer Brazilian payment methods (Pix and Brazilian-issued cards, including instalments) to its customers, and to receive the proceeds in the merchant's own currency and country. Collection of funds in Brazil, foreign-exchange conversion and remittance to the merchant are executed by a financial institution authorised by the Central Bank of Brazil. Olivet contracts with the merchant, instructs and authorises the settlement, and provides the dashboard, reporting and support. Olivet does not hold funds belonging to the merchant or to its customers.

2. Eligibility and onboarding

Merchants must be established outside Brazil, hold a valid tax identification in their country, and pass Olivet's know-your-business and sanctions checks. Olivet may decline or suspend any merchant at its discretion, and must do so where the law requires. Merchants must keep their information current.

3. Permitted use

The service is for the sale of lawful goods and services to customers in Brazil. It may not be used for financial services, remittances between individuals, gambling, virtual assets, or any activity restricted by Canadian or Brazilian law or by our payment partners. Each payment must correspond to a genuine sale documented on request. The limit per transaction is set in the agreement.

4. Fees and settlement

Olivet charges the merchant a service fee per transaction, as set in the agreement. Payments confirmed by 5 pm Brasília time on a business day are settled on the next business day, net of the fee, at the exchange rate fixed at the time of payment. Olivet is not responsible for delays caused by the merchant's bank, by intermediary banks or by regulatory holds.

5. Refunds, chargebacks and disputes

Refunds to customers are initiated by the merchant through the dashboard and are returned in reais to the original payment method. Card chargebacks and any resulting costs are the merchant's responsibility and may be deducted from future settlements.

6. Compliance

The merchant agrees to provide the information Olivet needs to comply with the Proceeds of Crime (Money Laundering) and Terrorist Financing Act, with Brazilian foreign-exchange regulation as applied by the executing bank, and with the rules of the card schemes and of Pix. Olivet may report transactions to the authorities without notice to the merchant where the law requires it.

7. Liability

Olivet's liability under the agreement is limited to the fees paid by the merchant in the twelve months preceding the claim, except for liability that cannot be limited by law. Olivet is not liable for indirect or consequential loss.

8. Term and termination

Either party may terminate on thirty days' notice. Olivet may suspend or terminate immediately for breach, suspected fraud, regulatory request or risk reasons. Settlement of completed transactions survives termination, subject to holds permitted by the agreement.

9. Governing law

The agreement is governed by the laws of British Columbia and the federal laws of Canada applicable therein. The courts of British Columbia have exclusive jurisdiction.
